Terms and Conditions of use of idea360

ATTENTION: BY ACCESSING OR USING THE WEBSITE, SERVICES AND PRODUCTS (AS DEFINED BELOW) PROVIDED BY IDEA360 YOU HEREBY AGREE TO THESE TERMS OF USE AND PRIVACY POLICY.

1. Introduction
Idea360 is owned by Fondazione Italiana Accenture ETS (FIA) with registered office in Via M. Bonnet 10 – 20154 Milan tax code 97317310155.

2. Description of the Services; Acceptance of these Terms and Conditions of use.

1. These Terms and Conditions of Use (hereinafter “Terms of Use” or “Terms”) are a legal agreement between you, an individual or a legal entity (“you”, “your”, “You” or “user”) , and Fondazione Italiana Accenture ETS (hereinafter “FIA”, “we”, “our”), regarding the access and use of idea360 (hereinafter “Website”, “Site”, “Platform”) and of the connected services (hereinafter “Services”).
2. idea360 allows users to activate end-to-end crowdsourcing initiatives and digital training programs and to manage all processes that involve the acquisition of data and information of different nature and format in a fully digital manner, allowing them to be aggregated in an organized, structured, personalized way that is easily usable by everyone.
3. By accessing and using these websites (https://idea360.com, https://apply-idea360.com) and all other idea360 domains (the "Website") and using the Services, you agree to these Terms and Terms of Use and all additional terms and conditions set forth on the Website.
4. The Terms of Use may be modified by FIA at any time and notice of any modifications shall be provided by posting on the Website and/or email communication. Your failure to provide or maintain accurate or current contact information shall not negate your responsibility to comply with these Terms of Use and any modifications. If you do not agree to one or more changes in the Terms of Use, you must stop using any Idea360-related Services and no longer access the Website. Your continued use of the Website and its Services indicates your agreement to the changes.
5. FIA reserves the right to make changes to, terminate or limit access to the Website and related Services at any time without notice in its sole discretion.

3.User Obligations

You agree to use the Website and its Services only for purposes permitted by these Terms of Use and any laws, regulations or generally accepted practices or guidelines in the relevant jurisdictions. FONDAZIONE ITALIANA ACCENTURE ETS IS NOT RESPONSIBLE FOR ANY VIOLATIONS OF APPLICABLE LAWS, RULES OR REGULATIONS COMMITTED BY YOU OR BY THIRD PARTIES IN CONNECTION WITH THE USE OF IDEA360. IT IS YOUR RESPONSIBILITY TO ENSURE THAT YOUR USE OF THE WEBSITE AND SERVICES DOES NOT CONTRACT APPLICABLE LAWS, RULES OR REGULATIONS.
Specifically, you agree and warrant that in using the Website and Services, your actions will not violate the laws, rules or regulations of the country, state or locality in which you reside, or the country, state or locality in which Fondazione Italiana Accenture ETS is located or operates.

4. Your use of the Services.

1. You agree not to access (or attempt to access) the Website and Services through automated means or engage in any activity that interferes with the Website and Services.
2. Additionally, you agree to:
   1. not to disrupt or interfere with or otherwise cause damage to the Website and Services and/or affiliated or linked sites;
   2. not use or attempt to use another user's user account (as defined below), password and/or login system;
   3. do not access or attempt to access any User Content (as defined below), which you are not authorized to access under these Terms of Use.
3. If anyone other than you accesses your User Account, they may take any actions available to you, make changes to your User Account and agree to any legal terms available therein, accept representations and warranties, and more - and all such activities will be deemed to have occurred for on your behalf and in your name.

5. User Accounts.

1. Idea360 requires you to create your own user account (the “User Account”) to use the Website and Services. In creating your user account, you agree to submit accurate, current and complete information about yourself and to keep such information updated. idea360 reserves the right to suspend or terminate any User Account that is reasonably suspected of containing untrue, inaccurate, not current or incomplete information. Once you have accepted these Terms of Use and your user account registration has been accepted by idea360, your user account will be created.
2. You will need to choose a personal, non-transferable password. idea360 may, from time to time, provide you with additional codes or passwords necessary to access and use certain other features or functions of the Website and Services.
3. User Accounts may not be "shared" or used by more than one individual. You are solely responsible for all activities that occur under your User Account including the consequences of your use or posting of Content on or in connection with idea360. You agree and understand that you are responsible for maintaining the confidentiality of your User Account. Additionally, you may not use anyone else's User Account at any time without the permission of the account holder. Idea360 is not responsible for any damages caused by or related to the theft or misappropriation of your User Account and User Content. However, you may be held liable for losses suffered by idea360 or third parties due to the misappropriation and use of your User Account. If you become aware of any unauthorized use of your User Account, please immediately notify idea360 at the email address: help@idea360.com

6.User Content.

1. You may upload data, information, materials and documents for storage to your User Account (the “User Content”). Subject to these Terms of Use, your User Content may be used in any manner authorized by you. You have no right to use other users' User Content in any way. You further acknowledge and agree that idea360 has no liability of any kind if any person to whom you have authorized access to your User Content modifies, destroys, copies, or distributes your User Content.
2. You agree and understand that FIA will have the right, but not the obligation, in its sole discretion, to screen, monitor and/or edit any User Content, to refuse, remove or disable access to User Content that may be illegal or may violate these Terms of Use at any time and for any reason, with or without notice.
3. You are solely responsible for protecting the information on your computer or other devices, such as by installing antivirus software, updating your applications, password protecting your files, and preventing third parties from accessing your computer. You understand that other users' User Content may be damaged by viruses, software malfunctions, or other causes. You agree and understand that FIA is not responsible for any damages that any user may suffer through the sharing and use of such corrupted User Content.
4. You own all rights to your User Content, including full authority to legally use, publish, transfer, or license such User Content. You acknowledge that the User Content is (and will continue to be) true, accurate, does not violate the rights of any third party, and is not in any way unlawful for you to possess, publish, transmit or display in the country in which you or your your end users.
5. Please refer to the "Data Protection" Section to learn how Fondazione Italiana Accenture ETS collects, uses, discloses, manages and stores your personally identifiable information ("Personal Information"). If you wish to access, correct, modify, or delete inaccurate information processed by FIA on idea360, you can direct your request to the help@idea360.com mailbox.

8. Duration and termination.

1. The term of these Terms of Use begins when you access the Website and Services and continues indefinitely as long as you continue to use the Website and Services, unless otherwise terminated by FIA or you by written notice. FIA reserves the right to modify, suspend or discontinue the Website and Services, or any part thereof, or terminate and/or modify these Terms of Use at any time, upon notice and without liability to FIA.
2. If you wish to terminate these Terms of Use, you may do so by notifying Fondazione Italiana Accenture ETS at any time in writing at help.idea360.com. Upon closure of your user account, the personal data and contents entered on idea360 relating to the initiative being registered will be deleted and cannot be recovered.
3. Without prejudice to any other rights, these Terms of Use will automatically terminate if you fail to comply with any of the limitations or other requirements described herein.
4. Upon termination, you must immediately cease all use of the Website and Services, including, without limitation, any use of idea360 Intellectual Property (as defined below).

9. Links to other third-party sites and materials.

1. The Website may provide links to other websites and/or third party products and services that are not under the control of FIA. FIA is in no way responsible for third party materials. The Website provides such links solely as a convenience to users of the Website and Services, and the inclusion of any link to third party materials does not imply endorsement by FIA of the content, products and/or services of such materials of third parties. Nothing in these Terms of Use shall be construed to grant you any right or license in respect of such Third Party Materials or to authorize you to use such Third Party Materials.
2. Your use of the Website and Services does not give you any intellectual property rights in the images provided through the Website and Services accessed. You may not use licensed images from the Website and Services unless you purchase the license rights directly from the owner.

10. Third party initiatives and our responsibility.
Idea360 is designed exclusively as an online tool for users and promoters of crowdsourcing and e-learning initiatives.

11.Intellectual property.

1. Copyright, trademark and all other proprietary rights in the Website and Services belong to Fondazione Italiana Accenture ETS and its Partners. Unless otherwise specified herein or authorized in writing by FIA, all rights in the Website and Services not expressly granted herein are reserved. You agree not to copy, republish, make available for download, transmit, modify, sell, assign, distribute, license and/or sublicense, invalidate Fondazione Italiana Accenture ETS intellectual property, or create derivative works based on Fondazione Italiana Accenture ETS intellectual property Italian Accenture ETS.
2. FIA disclaims any proprietary interest in intellectual property rights other than idea360's intellectual property, including, without limitation, Third Party Materials, Licensed Images, and User Content.
3. You agree that we will need to manage your content on our Platform, to make display changes and perform any other technical actions required.

12.Guarantees and exclusions of liability.

The Website and the services are provided on an “As Is” basis. FIA hereby expressly disclaims any express or implied representations or warranties of any kind, including without limitation warranties of fitness for any particular purpose.
Except as agreed by Fondazione Italiana Accenture ETS in writing, Partners, Users and any Third Party, as users of idea360, have no right to modify this limited warranty, nor to provide any additional warranty.

Fondazione Italiana Accenture ETS does not guarantee or make any representations regarding the security of the Website and the Services. Your use of the Website and Services is at your own discretion and risk, and with your understanding that you will be solely responsible for any damage to your computer system, loss of data, or other harm resulting from such activities.

1. FIA will use reasonable efforts to limit access to your User Account and User Content by unauthorized persons. However, no password-protected data storage and retrieval system can be made completely impenetrable. You hereby acknowledge and agree that it is your responsibility to maintain the confidentiality of your password and to protect your User Content from unauthorized access, viewing, copying and modification.
2. You understand and agree that the Website may contain references to Services that may not be available in a particular country. Any such references do not imply or warrant that such Website and Services are available at any time in any particular country.
3. You understand and agree that by using the Website and Services, you may be exposed to content that you may find offensive, indecent or objectionable and that, in this regard, you use the Website and Services at your own risk.
4. In no event shall FIA be liable for any direct, indirect, consequential, punitive, special, or incidental damages (including, without limitation, damages for loss of business, contract, revenue, data, information, or business interruption), under any theory of liability, arising out of or in connection with the Website, and the Services, including, but not limited to, (I) the use or inability to use the Website, and the Services for any reason, without notice, (II) the statements or actions of third parties on or through the Website and Services, (III) any unauthorized access to or alteration of transmission or data, (IV) any information that is sent or received, or not sent or received, (V) any failure to store of data, any loss of data, loss of or damage to files, and user content (VI) any failure of performance, delay, error, loss of data or other loss caused by any condition that is beyond FIA's reasonable control. you agree that neither FIA nor its partners and third parties will be liable in any way for the termination, suspension, interruption, delay of the website and the services.
5. Under no circumstances shall FIA be considered a "publisher" of any User Content, does not endorse any User Content in any way, and assumes no responsibility for any User Content uploaded, posted and/or made available by any user or any other party on and/or through the Website and Services, for any use or for any loss, deletion or corruption thereof or for any loss, damage, costs or expenses which you or others may suffer or incur due to or in connection with your posting of, accessing and/or relying on any User Content.

13.Your guarantees.

1. You hereby warrant that: (I) all information provided by you to Fondazione Italiana Accenture ETS in relation to the Website and the Services is true, accurate, correct and up-to-date; (II) you have full power and authority to enter into these Terms of Use; (III) you are at least 16 years old to enter into a binding contract with FIA; (IV) you will seek all necessary governmental approvals required to implement these Terms of Use; (V) you will perform all of your obligations under these Terms of Use in accordance with applicable laws; and (VI) your editorial, textual, graphical, audiovisual and other content that is available to end users of the Website and Services that is not provided by FIA does not (1) infringe any intellectual property rights of any third party party, (2) constitutes defamation, slander, or obscenity, (3) causes fraud or injury to another, (4) promotes violence or contains hate speech, (5) violates any applicable law, statute, ordinance, or regulation , or (6) contains adult content or promotes illegal activities.
2. You hereby agree to be responsible and assume all risks if for any reason the Website and the Services made available violate the national law of your country.

14. Feedback and suggestions

1. From time to time you may provide suggestions, comments or other feedback to FIA in relation to the Website and/or or the Services (hereinafter "Feedback"). You agree that all Feedback is and will be entirely voluntary and will not, absent a separate agreement, create any obligation of confidentiality on FIA. FIA will be free to disclose and use such Feedback as it sees fit, without any obligation of any kind to you. However, the foregoing does not affect either party's obligations in relation to information protected under the Privacy Policy.

15. Updates to the Website, Services and Products.

1. You acknowledge and agree that the Website and Services will be updated and modified from time to time. These changes may take the form of bug fixes, new features and/or modules, user interface changes, compliance with new regulations. Such updates and changes may be made without notice.

16. User Generated Content.

1. The Website and Services may contain pages or sections that are editable and viewable by all visitors to the Website, including, without limitation, forums, chats, guestbooks, and comments (“UGC”). You should use discretion when placing personal information within UGC sections, as it may be viewed by third parties. Use of personal information contained in UGC sections is subject to the Privacy Policy.
2. FIA reserves the right to edit and/or delete any messages posted to the UGC sections, in its sole discretion, at any time and for any reason, including, but not limited to, material that, in the opinion of FIA:
   1. may constitute libel, defamation, invasion of privacy, or is obscene, pornographic, offensive or threatening;
   2. may infringe any intellectual property or other right of any entity or person;
   3. may violate any applicable laws or advocate illegal activities;
   4. advertises or otherwise solicits funds or is a solicitation for goods, services, advertisers or sponsors or otherwise engages in commercial activity;
   5. disrupts the normal flow of dialogue or otherwise acts in a manner that impairs the ability of other people to engage in real-time activities through the Website;
   6. includes programs that may contain viruses, worms, Trojan horses, or other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications;
   7. violates any policies or regulations established from time to time regarding your use of the Website and Services;
   8. contains links to other sites that contain the type of content that falls within the descriptions in (a) to (g) above.

17. Illegal or prohibited use.

1. You may not use the Website and Services for any purpose that is unlawful, prohibited by these Terms of Use, or in any manner that interferes or attempts to interfere with the proper working of the Website and Services. You may not use the Website and Services in any manner that could damage, disable, overburden, or impair the Website and Services or interfere with any other party's use and enjoyment of the Website and Services.
2. You agree to:
   1. not use any third-party software that intercepts, “mines” or otherwise collects information from or through the Website and Services
   2. not institute, assist or be involved in a cyber attack or attempt in any way to disrupt the normal functioning of the webservers used by FIA to provide the Website and Services, which would constitute a violation of criminal and civil laws; and if such an attempt is made or assistance is provided for such an attack, Fondazione Italiana Accenture ETS reserves the right to seek damages from such user to the maximum extent permitted by law;
   3. not submit, transmit or display any disparaging information about FIA, the Website and Services or any third party in a context that could be considered defamatory, libelous, obscene, harassing, threatening, abusive, racist, deceptive or fraudulent, encouraging any conduct criminal or harmful, discriminates against, or is in any way defamatory of, any person, group or class of persons, gender, religion, nationality, disability, sexual orientation, or age, or otherwise violates FIA's intellectual property or rights of third parties;
   4. not upload to the Website and Services and/or distribute and/or transmit or otherwise execute any viruses, worms, Trojan horses, time bombs, web bugs, spyware, malware, or any other computer code, files or programs that may or is intended to damage or hijack the operation of any hardware, software or telecommunications equipment, or any other code or component that is actually or potentially harmful, destructive or invasive;
   5. not take any action that imposes an unreasonable load on the infrastructure of the Website and Services or related systems or networks, or otherwise interfere with or disrupt the operation of any of the Services, or the servers or networks that host or render them available.
   6. you will not use the Website and Services in connection with any form of spam, unsolicited mail, fraud, scams, phishing, "chain letters", "pyramid schemes" or similar conduct, nor will you otherwise engage in any unethical marketing or advertising.
3. If you violate any provision of these Terms of Use or engage in any other conduct that FIA deems offensive or inappropriate, FIA may take action against your User Account or your efforts hosted on the Website and Services. FIA reserves the right to remove any User Content and terminate your User Account and delete related content without notice, at any time and for any reason. FIA reserves the right to enforce or not enforce these Terms of Use in its sole discretion.

18. Prohibited information, content and activities

1. is clearly offensive, constitutes an incitement to racism, intolerance, hatred or physical violence towards any group, community or individual;

The following list includes, by way of example and not exhaustively, some types of illegal, improper, offensive content whose publication through the Website and Services is prohibited. FIA does not allow the publication of content which, in its sole discretion:

1. harasses or incites harassment of another person;
2. incites the exploitation of people for sexual or violent purposes;
3. contains pornographic, violent or offensive material or includes a link to an adult website;
4. requests personal data from minors;
5. includes telephone numbers, addresses, last names, URLs or email addresses;
6. includes information that is known to be false or misleading or incites illegal activities or conduct that may constitute abuse, threats, obscenity, defamation or slander;
7. encourages illegal or unauthorized copying of the copyrighted works of others, for example by offering counterfeit computer programs or links to such programs, by offering information about disabling copy-protect devices installed by manufacturers, or by offering counterfeit music or links to files that include the latter;
8. involves the transmission of junk mail, "chain" or unsolicited mass mailing, instant messaging, spimming or spamming;
9. includes pages whose accessibility is limited or requires a password or hidden pages or images, i.e. which are not linked to/from other accessible pages;
10. incites or incites illegal activities or undertakings or provides information and/or instructions relating to illegal activities including, but not limited to, the manufacture or purchase of weapons prohibited by law, the violation of another person's privacy or the dissemination and distribution creation of computer viruses;
11. requests passwords or personal data from other Members that allow their identification for commercial purposes or in conflict with current regulations;
12. involves commercial and/or sales-related activities without prior written approval from FIA, for example prize competitions, lotteries, barter, advertising or pyramid schemes;
13. includes photos of other people published without the consent of the person depicted in the image.
14. The following are also prohibited:
    1. All illegal or illicit activities, including child pornography, scams, trading of obscene material, drug trafficking, gambling, threats, harassment, spamming, spimming, sending viruses or other harmful files, copyright infringement, patent infringement, or theft of trade secrets.
    2. The publication or insertion on the Site, with any methodology or technique, of images, photos, films, music files owned by third parties and/or in any case protected by intellectual property rights or copyrights or patents of third parties other than the Member ;
    3. The publication and insertion of trademarks, distinctive signs, logos, designs, models owned or subject to exclusive rights of third parties other than the User.
    4. Advertisements or promotions to any User aimed at purchasing or selling any product or service through the Services. Using any information obtained through the Services for the purpose of contacting, advertising, promoting or selling products or services to other Members without their explicit consent is also a violation of the rules set out above.
    5. Any automated use, including using scripts to add friends or send comments and messages.
    6. Interference with, disruption to, or overloading of the Services or the networks or services connected to the Services.
    7. Attempts to impersonate another User or another person.
    8. Using another Member's account, username or password, disclosing your password to any third party, or granting any third party permission to access your account.
    9. The sale or transfer, carried out for any reason, of your User Account.
    10. The use of any information, obtained through the Services, for the purpose of threatening, abusing or harming other people in any way.
    11. Displaying promotional messages on your profile or asking others for financial or other compensation in exchange for carrying out, through the Services, any commercial activity on their behalf, for example the insertion of commercial content in the Member's profile, sending blog posts or BBS messages for commercial purposes.
    12. Upload, publish, send, transmit or disseminate any material that contains viruses or any other code, files or programs designed to interrupt, destroy or limit the functioning of any computer software, hardware or which may disturb the integrity, functionality and online communication of the Site.
    13. Use of the Services in any manner not permitted by applicable laws and regulations.

19. Link to the Website.

Connection to the Website is permitted provided that the following rules are respected. You may link to any page on the Website, but you may not use in-line linking (or hot-linking) or framing. You must not imply that FIA endorses or sponsors the linker or its website, products or services. You must not use FIA's intellectual property without FIA's prior written permission. Furthermore, you agree to remove the link at any time upon request by FIA.

20. Reference to the legal system and competent court

For anything not expressly provided for in this document, please refer to the regulations.

For any disputes between FIA and the User of the idea360 service, the Court of Milan will be competent.

21. Declaration of partial nullity.

Any declaration of nullity of some of the clauses referred to in this document by the judicial authority does not imply overall nullity of the contract, it remaining valid for the clauses not declared null.

22. Effectiveness

The effectiveness of this document starts from the moment of completion of the registration procedure and will be valid for the entire duration of the User's registration on the platform and for all uploads of content that he/she will carry out. The dissemination of a new version of the document will make the current one less effective.

23. Data protection.

1. All personal information that FIA may use will be collected, processed and stored in accordance with the provisions of EU Regulation 2016/679, General Data Protection Regulation (“GDPR”). You can find more information about our GDPR compliance in our Privacy Policy.27. Applicable law.
